4、成二、保密信息的組成Article2:CompositionofConfidentialInfmation本協(xié)議所稱保密信息保密信息是指由信息披露方提供給信息接受方的任何與信息披露方經營業(yè)務或行為有關的、信息披露方尚未公開的信息，無論該信息采用何種形式提供給信息接受方，保密信息接受方或其工作人員均應合理認為其為保密信息。ConfidentialInfmationreferredinthisAgreementmeansanyinfmati

6、ivershallreasonablydeemsuchinfmationasconfidentialinfmationdisregardingthefminwhichsuchinfmationisprovidedtotheinfmationreceiver.3出租、出借、轉讓、傳播、泄露或透露保密信息。信息接受方一旦發(fā)生丟失、被盜、燒毀等會引起保密信息泄露或銷毀的行為和事故，應承擔全部責任；Unlesswiththewrittencon

8、ialinfmationrevealeddamagedtheinfmationreceivershalltakeallresponsibilities4.在本協(xié)議終止后，雙方仍需遵守本協(xié)議之保密條款，履行其所承諾的保密義務，直到信息披露方同意其解除此項義務，或事實上不會因信息接受方違反本協(xié)議的保密條款而給信息披露方造成任何形式的損害時為止。AfterthisAgreementterminatesthePartiesshallcontin

10、mationreceiverwillnotbringanydamageinanyfmtotheinfmationdiscloser.五、公開要求五、公開要求Article5Requirementofpublication在司法或政府部門指令、要求或命令信息接受方公開保密信息的情況下，信息接受方可以向上述部門披露保密信息。但是，在法律允許的情況下，信息接受方在披露保密信息前必須采取合理的措施通知信息披露方以便對該指令、要求或命令進行抗辯。
